Title: Corporate Counsel/Senior Counsel

Reports To: VP, Legal and Corporate Development

Job Description:
NETGEAR, Inc. (NASDQGM: NTGR”) is seeking a highly motivated, experienced and licensed attorney to join the NETGEAR team. This individual will be the second attorney in the legal department and will have significant and wide ranging responsibilities and opportunities for career advancement. The individual will primarily be responsible for general contracts negotiation, SEC periodic reporting, intellectual property litigation management and international entity creation and maintenance. This individual will also assist with corporate governance, stock administration and business development support, in order to maintain the organization’s objectives and competitive position in the marketplace.

Primary Responsibilities:

  • This individual’s first priority will be the proactive and enthusiastic support of the company’s other departments to ensure rapid, intelligent and efficient turn-around of all business contracts.
  • Work with the finance department to draft the company’s periodic filings with the SEC.
  • Manage the company’s ongoing intellectual property litigation matters.
  • Assist in all areas of corporate governance, including Sarbanes Oxley compliance, insurance and risk management, entity creation and maintenance, support of employment matters, business development and M&A transactions and stock administration.

Required Experience and Skills:

  • Member of the California bar with 6+ years of experience in the drafting and negotiation of commercial agreements for technology companies, including hardware and software purchase agreements, domestic and international distribution/reseller agreements, OEM agreements, license agreements, consulting agreements, vendor agreements and other similar agreements.
  • Experience with managing intellectual property litigation.
  • Experience with broader employment, corporate governance, international operations and/or other regulatory matters preferred.
  • Must thrive under pressure and be prepared to maintain exceptional professionalism and manage multiple projects and priorities in an exciting, fast-paced and dynamic business environment.
  • Excellent business judgment and counseling skills, and demonstrated proficiency in organizational, analytical, conceptual, strategic planning, problem solving, presentation and management skills.
  • Exceptional interpersonal skills and verbal and written communication skills, including the ability to sift through complicated legal and business issues and communicate only the important aspects in a clear and concise manner at all levels within an organization and across geographic lines.
